Terms of Service

These Terms of Service ("Legal Terms") constitute a legally binding agreement between you and Gotoaddress ("Company", "we", "us", or "our") governing your access to and use of the Gotoaddress platform, including our web dashboard, mobile applications, and REST API (collectively, the "Services"). By creating an account or using the Services in any way, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We will provide you with prior notice of any scheduled changes to the Services you are using. Changes to these Legal Terms will become effective upon posting, and your continued use of the Services after such changes are posted constitutes your acceptance of the revised Legal Terms. If you are using Gotoaddress on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Legal Terms.
1. OUR SERVICES
Gotoaddress is a logistics marketplace that connects businesses and individuals that need deliveries ("Shippers") with courier businesses and individual riders ("Providers" or "Partners"). We provide the technology platform — including job dispatch, wallet management, real-time tracking, and reporting — but we are not a courier or logistics company ourselves. Gotoaddress does not employ Providers; Providers are independent operators who use the platform to find and fulfil delivery work.
Shippers use the platform to create delivery requests and fund those requests from a pre-loaded wallet. Providers use the platform to go online, receive nearby job offers, accept or decline jobs, and collect earnings. The actual delivery contract is between the Shipper and the Provider; Gotoaddress facilitates that match and transaction but is not a party to the underlying delivery agreement.
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property.We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, text, photographs, and graphics (collectively, "Content"), as well as the trademarks, service marks, and logos contained therein ("Marks"). Our Content and Marks are protected by copyright, trademark, and other applicable intellectual property laws.
Your licence to use the Services. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services solely for your personal or internal business purposes. No part of the Services or its Content may be copied, reproduced, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.
Your data. You retain ownership of the business data (delivery addresses, customer records, transaction history) that you input into the platform. By using the Services you grant us a limited licence to use that data solely to operate, maintain, and improve the platform.
Feedback. If you send us suggestions, ideas, or feedback about the Services, you agree that we may use and act on that feedback for any lawful purpose without obligation or compensation to you.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- All registration information you submit is true, accurate, current, and complete, and you will keep it up to date.
- You have the legal capacity to enter into a binding contract and agree to comply with these Legal Terms.
- You are at least 18 years old.
- You will not use the Services for any illegal or unauthorised purpose.
- Your use of the Services will not violate any applicable law or regulation.
- You will not access the Services through automated or non-human means, except as expressly permitted under our API Terms (Section 10).
- If registering as a Provider, you hold all licences, permits, and insurance required by law to carry out delivery services in your area of operation, and you will maintain them for the duration of your activity on the platform.
If you provide any information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.
4. USER REGISTRATION
You must register for an account to use the Services. You agree to keep your password confidential and to be responsible for all activity that occurs under your account, whether or not you authorised it. You must notify us immediately at legal@gotoaddress.xyz of any unauthorised use of your account or any other security breach. We reserve the right to remove or reclaim any username we consider inappropriate or objectionable.
5. ACCOUNT TYPES
Shippers are businesses or individuals that create delivery requests on the platform. As a Shipper, you may manage branches, team members, customer addresses, and a pre-funded wallet to pay for deliveries. You are responsible for the accuracy of all delivery information you provide, including pickup and drop-off addresses, recipient contact details, package descriptions, and declared item values.
Providers (Partners) are courier businesses or individual riders that fulfil delivery jobs. As a Provider, you maintain a public partner profile, go online to receive nearby job offers, complete deliveries, and manage your earnings through a partner wallet. You are solely responsible for safe handling, timely pickup, and delivery of shipments to the specified address.
A single account may be configured to operate as both a Shipper and a Provider. You are responsible for all activity that occurs under your account regardless of which role you operate in at any given time.
6. PROVIDER ONBOARDING AND ELIGIBILITY
To operate as a Provider on Gotoaddress, you must complete our onboarding process, which includes identity verification and submission of eligibility documents. Required documents may include, but are not limited to:
- A valid government-issued photo ID (national ID, passport, or driver's licence).
- Proof of address issued within the last three months.
- Vehicle registration documents and a valid driver's licence (for vehicle-based deliveries).
- Any permits or licences required under applicable transport or logistics regulations in your operating area.
Gotoaddress reserves the right to approve or decline any Provider application, conduct periodic re-verification, and suspend any Provider whose documents expire or are found to be invalid or fraudulent.
Going online. Providers must be in an approved, active state to go online and receive job offers. By going online, you represent that you are physically available to accept and fulfil deliveries, that your vehicle (where applicable) is roadworthy and appropriately insured, and that you are not impaired in any way that could affect safe delivery.
Job acceptance. You are not obligated to accept every job offer. However, repeatedly declining jobs while online without reasonable cause may result in a temporary cool-down period or account review. If you accept a job, you are expected to complete it unless a genuine emergency or safety concern arises. Abandoning accepted jobs without valid cause may attract penalties as described in our Provider Policy.
Proof of delivery. Providers must capture proof of delivery (such as a recipient signature or a photograph at the drop-off location) as required by the platform for each completed job. Failure to provide proof of delivery may affect your eligibility for payment in the event of a Shipper dispute.
7. PROHIBITED ACTIVITIES
You agree not to use the Services to:
- Transport prohibited goods, including but not limited to controlled substances, narcotics, firearms, ammunition, explosives, counterfeit currency, stolen property, or any items whose transportation is unlawful under applicable law.
- Misrepresent the contents, weight, dimensions, fragility, or value of a shipment.
- Ship items that require special handling, permits, or regulatory approval (e.g. pharmaceuticals, medical devices, hazardous materials) without disclosing this to the Provider and obtaining required authorisations in advance.
- Use recipient or sender contact details obtained through the platform to contact those individuals outside the scope of the specific delivery for which the information was provided.
- Create fake or test delivery requests that are not intended to result in a real delivery.
- Manipulate your own or another user's rating through fake reviews, coordinated rating campaigns, or self-reviews.
- Engage in fraudulent wallet top-ups, chargeback abuse, or any scheme to obtain deliveries without valid payment.
- Go online as a Provider without genuine intent or physical ability to accept and fulfil jobs.
- Solicit or arrange deliveries with Shippers or Providers directly (off-platform) to circumvent fees or tracking after making initial contact through the platform.
- Circumvent, disable, or interfere with security features of the platform, including account verification and API rate limiting.
- Impersonate another Shipper, Provider, recipient, or Gotoaddress staff member.
- Access the platform through unauthorised automated or scripted means outside the scope of our API Terms.
- Reverse-engineer, decompile, or attempt to derive the source code of any part of the Services.
- Use data or insights obtained through the Services to build a competing logistics marketplace product.
- Harass, threaten, or abuse any other user — Shipper, Provider, or recipient — contacted through the platform.
- Submit false, misleading, or malicious support tickets or dispute claims.
Violation of this section may result in immediate account suspension or termination, forfeiture of wallet balances pending investigation, and referral to relevant law enforcement authorities where criminal conduct is suspected.
8. DELIVERY REQUESTS
When a Shipper creates a delivery request, they are placing a booking on the platform. Gotoaddress routes the request to an available nearby Provider based on location, availability, and service scope. Acceptance of a job by a Provider creates a fulfilment agreement between the Shipper and the Provider; Gotoaddress facilitates that match but is not a party to the underlying delivery contract.
Shippers are responsible for ensuring that packages are properly prepared, packaged, and clearly labelled before the Provider arrives for pickup. Providers are responsible for safe handling, timely pickup, and delivery to the specified address in the condition the package was received.
Gotoaddress does not guarantee specific delivery times unless expressly stated in a written service-level agreement. Estimated times displayed on the platform are indicative only and may vary based on traffic, weather, route conditions, or other factors outside our control.
Gotoaddress is a marketplace facilitator and is not liable for the loss, damage, delay, or theft of any shipment. Shippers are strongly encouraged to declare accurate item values at the time of booking and to arrange appropriate insurance for high-value shipments.
9. FEES, PAYMENTS, AND WALLET
Accepted payment methods. We accept bank transfer, debit/credit card, and wallet top-up via our payment gateway partners. All transactions are processed in Nigerian Naira (NGN) unless otherwise stated.
Shipper wallet. Shippers must maintain sufficient wallet balance to cover delivery fees before placing a booking. The full fee is calculated and displayed before you confirm a booking and must be acknowledged at checkout. Fees may be fixed or distance-based, depending on the service scope selected (local, intrastate, interstate, or international).
Provider earnings.Upon confirmed delivery, the agreed payout amount is credited to the Provider's wallet. Payouts are subject to any applicable platform service fees, which are clearly displayed in your earnings dashboard. Payout timelines and minimum withdrawal thresholds are set out in our Provider Payout Policy.
Refunds and cancellations.If a delivery is cancelled before a Provider accepts the job, the full amount is returned to the Shipper's wallet. For cancellations after acceptance, the applicable cancellation policy displayed at the time of booking applies. Gotoaddress reserves the right to withhold payment in cases of suspected fraud, policy violation, or unresolved disputes, pending investigation.
Pricing changes. We reserve the right to adjust platform service fees and update our pricing structure. We will provide reasonable advance notice of fee changes that materially affect existing users.
All wallet transactions are logged and visible in your dashboard's transaction history.
10. API ACCESS
Access to the Gotoaddress REST API is provided subject to these Legal Terms. You may use the API to integrate our platform into your own applications, internal tools, and automated workflows, provided you:
- Do not exceed the rate limits set out in our developer documentation.
- Do not resell, sublicence, or expose raw API access to third parties.
- Do not use the API to bulk-create fake delivery requests or manipulate platform data.
- Comply with our developer documentation and any additional API policies we publish.
API keys are tied to your account and must be kept confidential. You are responsible for all activity conducted through your API keys. We reserve the right to revoke API access at any time for abuse, excessive usage, security concerns, or violation of these Legal Terms.
11. RATINGS AND FEEDBACK
After each completed delivery, Shippers may rate and leave feedback on the Provider, and Providers may rate the Shipper. Ratings and feedback must:
- Be based on your genuine, firsthand experience of the specific delivery.
- Be honest and not deliberately misleading or exaggerated.
- Not contain offensive, abusive, discriminatory, or threatening language.
- Not be submitted as part of a coordinated campaign to harm another user's reputation.
- Not be self-submitted through alternate accounts or in collusion with others.
Sustained low ratings may affect a Provider's eligibility to receive jobs or remain active on the platform. Gotoaddress may investigate rating anomalies and may remove ratings or take enforcement action where abuse is detected. We are under no obligation to remove a rating solely because the rated party disagrees with it.
12. THIRD-PARTY INTEGRATIONS AND CONTENT
The Services may integrate with or link to third-party services such as mapping providers, payment gateways, SMS notification services, and identity verification partners. We do not control these third-party services and are not responsible for their availability, accuracy, privacy practices, or terms of service.
Inclusion of a third-party integration does not imply our endorsement. Your use of any third-party service is subject to that provider's own terms, and we accept no liability for loss or harm arising from your interaction with third-party services accessed through or alongside the Gotoaddress platform.
13. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Legal Terms.
- Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms.
- Restrict, suspend, or terminate access to any account or feature at any time.
- Remove or disable content or data that is abusive, fraudulent, or burdensome to our systems.
- Adjust dispatch algorithms, pricing formulas, and feature availability at any time to maintain platform integrity.
14. PRIVACY POLICY
We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Our Privacy Policy explains what personal data we collect, how we use it, and your rights in respect of it. The Services are hosted in Nigeria. If you access the Services from outside Nigeria, you expressly consent to have your data transferred to and processed in Nigeria in accordance with applicable law.
15. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION.
You may close your account at any time from your account settings. If we terminate or suspend your account for any reason, you are prohibited from re-registering under your name, a fictitious name, or the name of any third party.
Upon termination, your right to use the Services ceases immediately. Outstanding wallet balances will be settled according to our current payout procedures, subject to any amounts withheld for unresolved disputes, refunds owed to Shippers, or policy violations under investigation.
16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or discontinue the Services or any feature thereof at any time at our sole discretion. We cannot guarantee that the Services will be available at all times. Hardware failures, software updates, and scheduled maintenance may cause interruptions or errors.
We have no liability for any loss, missed delivery, or inconvenience caused by your inability to access or use the Services during any period of downtime or discontinuance. We will endeavour to provide advance notice of planned maintenance where possible.
17. GOVERNING LAW
These Legal Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Gotoaddress and you irrevocably consent to the exclusive jurisdiction of the courts of Nigeria for the resolution of any dispute arising out of or in connection with these Legal Terms or the Services.
18. DISPUTE RESOLUTION
Informal negotiations. Before initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute informally for a period of at least fifteen (15) days from the date of written notice of the dispute. Disputes between Shippers and Providers regarding a specific delivery should first be raised through the in-platform dispute resolution tool.
Restrictions. Any arbitration or legal proceeding shall be limited to the individual dispute between the parties. No dispute may be arbitrated or litigated on a class-action basis or as a representative action on behalf of the general public or other users.
Exceptions. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending resolution of a dispute.
19. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranty that the Services will be uninterrupted, error-free, or free of viruses. Gotoaddress is a marketplace facilitator; we do not guarantee the conduct, competence, or reliability of any Shipper or Provider using the platform. We are not liable for any personal injury, property damage, or financial loss arising from deliveries facilitated through the platform.
20. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by applicable law, our total cumulative liability to you for any cause of action, regardless of its form, is limited to the total fees you paid to Gotoaddress in the three (3) calendar months immediately preceding the event giving rise to the claim.
21. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Gotoaddress and its officers, directors, employees, agents, and affiliates from and against any loss, damage, liability, claim, or demand — including reasonable legal fees — arising out of or relating to: (1) your use of the Services; (2) your breach of these Legal Terms; (3) your breach of any representation or warranty you made; (4) your violation of any third party's rights; (5) any shipment you created or fulfilled that resulted in harm to a third party; or (6) any fraudulent or illegal act you committed in connection with the Services.
22. USER DATA
We maintain the data you transmit to the Services in order to operate and improve the platform. You are solely responsible for the accuracy and completeness of all data you submit. We shall have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from any such loss or corruption, to the extent permitted by applicable law.
23. ELECTRONIC COMMUNICATIONS AND SIGNATURES
Visiting the Services, submitting forms, and sending us emails constitute electronic communications. You consent to receive electronic communications from us and agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, and records for transactions initiated or completed through the Services.
24. SMS / TEXT MESSAGING
By providing your phone number and using the Services, you consent to receive SMS messages from Gotoaddress, including delivery status notifications, security alerts, and account updates. You may opt out at any time by updating your notification preferences in your account settings or by replying STOP to any SMS we send. Standard message and data rates from your mobile carrier may apply. For SMS support, contact legal@gotoaddress.xyz.
25. CORRECTIONS
There may be information on the Services that contains typographical errors, inaccuracies, or omissions regarding descriptions, pricing, availability, or other details. We reserve the right to correct any errors and to update the information at any time, without prior notice.
26. MISCELLANEOUS
These Legal Terms, together with our Privacy Policy and any other policies or operating rules we publish, constitute the entire agreement between you and us. Our failure to enforce any right or provision does not constitute a waiver. If any provision of these Legal Terms is found to be unlawful or unenforceable, it will be severed without affecting the enforceability of the remaining provisions. We may assign our rights and obligations under these Legal Terms at any time. There is no joint venture, partnership, employment, or agency relationship created between you and us by these Legal Terms. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
